Subscription Duration

Quarterly, Half-Yearly, and Yearly plans define the applicable commercial engagement period. Subscription duration and payment frequency are not necessarily identical. The actual billing schedule is governed by the milestones, deliverables, and payment triggers agreed in the applicable commercial documentation.

Milestone-Based Payments

Payments shall become payable in accordance with milestones, deliverables, billing events, resource consumption, or other payment triggers mutually agreed between the parties. Customers are not required to pay the entire subscription or project value upfront unless specifically agreed in writing. Each invoice represents payment for the milestone or delivery cycle specified and is issued pursuant to the applicable commercial agreement, Statement of Work, Proposal, Purchase Order, and these Terms & Conditions.

Acceptance

Where payment depends on deliverable acceptance, acceptance criteria must be documented in the applicable Proposal, Statement of Work, Work Order, Purchase Order, or Agreement. A milestone is deemed accepted when the agreed acceptance criteria are satisfied and the customer confirms acceptance in writing or through the approved review channel.

Invoice Due Date

Payment should be made within the number of days specified in the applicable invoice or contract, for example Net 7, Net 15, Net 30, or another agreed period. Late payments may attract the consequences described in the signed commercial agreement, including possible service suspension, milestone rescheduling, resource reassignment, or applicable late-payment provisions.

Scope Changes

Any material change in scope, deliverables, resources, technologies, timelines, integrations, compliance requirements, or dependencies may result in revised pricing and milestone structure through an approved Change Request.

Custom Pricing

Custom pricing remains subject to final requirement analysis, resource planning, technical evaluation, commercial negotiation, and contractual approval. Pricing will be determined after requirement analysis and may be structured as milestone-based, subscription-based, resource-based, fixed-price, usage-based, or a hybrid commercial model.

Taxes

All applicable taxes, GST, duties, withholding taxes, banking charges, or statutory levies should be treated according to the governing invoice and agreement. Unless stated otherwise, commercial values are exclusive of taxes and taxes will be applied at the prevailing rate.

Third-Party Costs

Third-party licenses, cloud services, software subscriptions, hardware, APIs, travel, specialist services, or external infrastructure may be billed separately unless explicitly included in the agreed commercial documentation.

Delayed Payments

Consequences for overdue invoices are defined in the signed commercial agreement, including possible service suspension, milestone rescheduling, resource reassignment, or applicable late-payment provisions. Kennen Technologies reserves the right to suspend work on affected milestones until overdue amounts are settled.

Commercial Disclaimer

Prices displayed on the website are indicative/base commercial values unless specifically stated otherwise. Final pricing, milestone structure, taxes, deliverables, timelines, payment terms, and acceptance criteria are subject to mutually agreed commercial documentation.

Commercial Data Consistency

Commercial information must remain consistent across the Pricing Page, Contact Sales, Sales Enquiry, Proposal/Quotation, Statement of Work, Agreement, Terms & Conditions, Milestones, Invoice, Payment, Receipt, Customer Emails, Admin Emails, Customer Dashboard, and Admin Dashboard. Conflicts are resolved by the latest mutually executed commercial document.
